Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("Client," "User," or "You") and MorePie LLC ("MorePie," "we," "us," or "our") and govern your access to and use of the business automation platform, services, tools, and associated websites offered by MorePie (collectively, the "Platform").

By accessing or using the Platform, you represent that: (1) you have read, understood, and agree to be bound by these Terms, (2) you are of legal age and authority to form a binding agreement, and (3) you will comply with all applicable laws and regulations in connection with your use of the Platform. If you do not agree to these Terms, you must not access or use the Platform.

1. USE OF PLATFORM

1.1 Eligibility

‍

You must be at least 18 years old to use the Platform. Use of the Platform is restricted to business purposes and may not be used for personal or consumer purposes.

1.2 Account Registration

‍

To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

1.3 Restrictions

‍

You agree not to:

• Use the Platform in violation of any law or regulation;
• Use the Platform to transmit unauthorized or unsolicited advertising;
• Copy, reproduce, distribute, or create derivative works based on the Platform without our written consent;
• Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform;
• Use the Platform in a manner that could damage, disable, or impair our systems or networks;
• Grant access to the Platform to any of our competitors or use the Platform to compete with us.

2. CUSTOMER RESPONSIBILITIES

You are responsible for:

• Ensuring that your use of the Platform and your own end users' activities comply with these Terms and all applicable laws;
• Implementing your own terms of service and privacy policy for your end users;
• Maintaining control and security over your data, customer data, and access credentials;
• All content and communications transmitted through the Platform under your account.

3. THIRD-PARTY SERVICES

The Platform may integrate with third-party services. We are not responsible for the operation, security, or content of such services. You are solely responsible for complying with the third-party terms and for obtaining any necessary consents to share data with those services.

4. COMMUNICATIONS

‍

Use of the Platform may include tools for sending SMS, email, voice, and other communications. You are solely responsible for compliance with all laws applicable to such communications, including but not limited to the TCPA, CAN-SPAM Act, and local data protection laws.

5. FEES & PAYMENTS

‍

5.1 Subscription Fees

‍

Fees are based on the subscription plan you select and are billed in advance monthly or annually. You authorize us to charge your payment method automatically.

‍

5.2 Additional Usage ChargesAdditional fees may apply for features such as texting, calling, and other usage-based services. These will be charged as incurred or through a preloaded wallet balance.

‍

5.3 RefundsAll fees are non-refundable, including for unused services, partial periods, or cancellations. In our sole discretion, we may offer credits.

5.4 TaxesYou are responsible for all applicable taxes associated with your use of the Platform. If we are required to collect taxes, we will invoice them accordingly.

6. DATA & PRIVACY

‍

By using the Platform, you grant MorePie the right to access, process, and store your data as necessary to provide the services. You agree to our Privacy Policy, which describes how we handle personal information. You are responsible for providing appropriate notices and obtaining necessary consents from your users.

6. INTELLECTUAL PROPERTY

‍

MorePie retains all rights, title, and interest in the Platform and all associated content, trademarks, and technology. Nothing in these Terms grants you ownership of any part of the Platform.

7. CONFIDENTIALITY

‍

You agree not to disclose or use any confidential information obtained through your use of the Platform for any purpose outside the scope of this Agreement without our prior written consent.

8. TERM & TERMINATION

‍

These Terms are effective upon your first access or use of the Platform and continue until terminated. We may suspend or terminate your access at any time, with or without cause. You may terminate by closing your account.

9. DISCLAIMERS

‍

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.

10. LIMITATION OF LIABILITY

‍

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOREPIE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE LAST THREE (3) MONTHS.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MorePie from any claims, losses, damages, liabilities, and costs (including attorneys’ fees) arising out of or relating to your use of the Platform, your breach of these Terms, or your violation of any law.

12. MODIFICATIONS TO TERMS

‍

We reserve the right to modify these Terms at any time. We will provide notice of material changes. Continued use of the Platform after changes are effective constitutes your acceptance.

‍

13. DISPUTE RESOLUTION

‍

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. You agree to resolve any dispute through binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. Class actions are not permitted.

‍

14. MISCELLANEOUS

‍

These Terms constitute the entire agreement between you and MorePie regarding the Platform. If any part is deemed unenforceable, the remainder remains in effect. You may not assign your rights without our consent. Our failure to enforce any provision is not a waiver.
