1. Acceptance of Terms

By accessing or using any website, service, tool, or material provided by MorePie, LLC ("MorePie," "we," "us," or "our"), including but not limited to the website located at morepie.com and any related subdomains, you ("you," "your," or "Client") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.

These Terms constitute a legally binding agreement between you and MorePie. By submitting a form, requesting an audit, or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

MorePie is an independent sales organization ("ISO") that provides consulting, analysis, and advisory services to restaurant owners and food service businesses. Our services include, but are not limited to:

  • Review and analysis of credit card processing statements and fee structures
  • Point-of-sale (POS) system configuration review and optimization recommendations
  • Revenue feature identification and activation recommendations
  • Facilitation of POS and payment processing solutions through our network of partner providers
  • Ongoing support and account management for clients who switch POS or processing services through MorePie

MorePie acts as an independent advisor and intermediary. We are not a payment processor, merchant acquirer, or POS manufacturer. Processing services and POS hardware/software are provided by third-party partner companies. MorePie receives commissions from partner providers when a client chooses to switch POS or payment processing through us. This commission does not increase the cost to you.

3. Free POS & Payments Profit Audit Offer

3.1 Overview

MorePie offers a complimentary POS & Payments Profit Audit ("Audit") to qualifying restaurant and food service businesses. The Audit includes a review of your credit card processing fees, POS configuration, and unused revenue features built into your POS system.

3.2 Cost

The Audit is provided at no cost to you regardless of your monthly processing volume, regardless of whether you qualify for the $10,000 Profit Guarantee, and regardless of whether you choose to switch your POS or payment processor through MorePie. There is no charge for the Audit under any circumstances.

3.3 Statement Requirements

To complete the Audit, you must provide your two (2) most recent credit card processing statements. These statements must be consecutive, current (dated within the last four months from the date of your Audit request), and complete (all pages, not summaries or screenshots). MorePie cannot rely solely on verbal representations of your processing volume, fees, or rates. Actual documentation is required for us to perform an accurate analysis and deliver meaningful findings.

If you are unable to provide your two most recent consecutive statements, MorePie will make reasonable efforts to assist you in obtaining them from your current processor, but we cannot guarantee the accuracy of our findings or the applicability of the $10,000 Profit Guarantee (Section 4) without this documentation.

3.4 Audit Scope

The Audit covers three areas:

  1. Processing & Fee Forensics: Effective rate calculation, junk fee identification, interchange markup analysis, and equipment cost review.
  2. POS Configuration & Workflow: Order flow, ticket management, comp/void patterns, reporting utilization, and operational bottleneck identification.
  3. POS Revenue Levers: Identification of built-in revenue features (loyalty programs, gift cards, SMS marketing, upsell prompts, online ordering, tip optimization) that are not currently activated or optimized.

The Audit is delivered via a 60-minute phone or video call with a MorePie profit specialist, followed by a written Profit Report delivered within 24–48 business hours.

3.5 No Obligation

Receiving an Audit does not obligate you to switch your POS system, payment processor, or any other service. You may use the findings and recommendations from the Audit for any purpose, including negotiating with your current provider. The Audit findings and Profit Report are yours to keep regardless of any decision you make.

4. $10,000 Profit Guarantee & $200 Payout

4.1 The Guarantee

MorePie guarantees that for qualifying businesses (as defined in Section 4.2 below), we will identify at least $10,000 per year in combined savings and additional revenue opportunities from your POS and payment processing setup ("Found Profit"). If we fail to identify at least $10,000 in annual Found Profit for a qualifying business, MorePie will pay you $200 ("Guarantee Payout").

4.2 Qualifying Conditions

All three of the following conditions must be met for the $10,000 Profit Guarantee to apply:

  1. Monthly Processing Volume: You must process a minimum of $40,000 per month in credit and debit card transactions. Volume is determined based on the two most recent processing statements you provide (see Section 4.3). If your average monthly card volume across the two statements provided falls below $40,000, the Guarantee does not apply.
  2. Statement Documentation: You must provide your two (2) most recent consecutive credit card processing statements, dated within the last four (4) months from the date of your Audit request. Statements must be complete (all pages) and legible. Partial statements, summaries, screenshots, or statements older than four months do not satisfy this requirement.
  3. Full Audit Completion: You must complete the full 60-minute Audit call with a MorePie profit specialist covering all three audit areas (processing fees, POS configuration, and revenue levers). If you cancel, reschedule without completing, or decline to participate in any portion of the Audit, the Guarantee does not apply.

4.3 Determination of Processing Volume

Your monthly processing volume for purposes of Guarantee eligibility is calculated as the average of the total net card transaction volume shown on your two most recent consecutive processing statements. MorePie's determination of volume based on the statements provided is final. We cannot accept verbal or written estimates of volume in lieu of actual statement documentation.

4.4 Calculation of Found Profit

Found Profit is calculated as the combined annualized value of the following three categories:

  • Processing fee savings: The difference between your current annualized processing costs (as documented in your statements) and the annualized cost of the processing setup recommended by MorePie, calculated using published or quoted rates from our partner providers.
  • POS operational savings: Quantified impact of recommended workflow improvements, including but not limited to: reduced comp/void rates, labor time savings from improved order flow, and equipment cost elimination (e.g., terminal lease termination). Operational savings are calculated using reasonable estimates based on industry benchmarks and your specific operational data discussed during the Audit.
  • POS revenue lever projections: Conservative estimated revenue impact of activating or optimizing built-in POS features such as loyalty programs, gift card systems, upsell prompts, tip optimization, and online ordering. Revenue projections are based on published industry benchmarks and conservative assumptions (typically using the lower bound of documented ranges).

MorePie's calculation of Found Profit is presented in good faith using reasonable methodologies and documented assumptions. The Found Profit figure represents estimated potential savings and revenue, not a guarantee of actual realized results, which depend on implementation, market conditions, and other factors outside MorePie's control.

4.5 Guarantee Payout Process

If all qualifying conditions in Section 4.2 are met and MorePie's Audit identifies less than $10,000 in annual Found Profit, MorePie will pay you $200 within forty-eight (48) hours of the completed Audit call. Payment will be made via Venmo, Zelle, or another mutually agreed-upon electronic payment method. No additional forms, applications, or claims are required — the Guarantee Payout is initiated automatically by MorePie.

4.6 Non-Qualifying Audits

If you do not meet all three qualifying conditions, the $10,000 Profit Guarantee does not apply. However, the Audit itself remains completely free. MorePie will still conduct the Audit, provide findings and recommendations, and deliver a Profit Report at no charge. Even if you do not qualify for the Guarantee and even if you choose not to switch to a system or processor that MorePie can provide, we will still identify and communicate any savings opportunities or improvements we find during the Audit process.

4.7 Limitations

  • The Guarantee applies once per business location. Multiple locations owned by the same entity are each eligible for a separate Audit and Guarantee.
  • The Guarantee does not apply if materially inaccurate or fraudulent information is provided, or if statements have been altered or do not reflect actual processing activity.
  • The Guarantee is non-transferable and has no cash value beyond the $200 Guarantee Payout described in Section 4.5.
  • MorePie reserves the right to modify or discontinue the $10,000 Profit Guarantee at any time. Any modifications will apply only to Audit requests submitted after the effective date of the change and will not affect Audits already in progress or completed.

5. Eligibility

Our services are available to restaurant owners, operators, and authorized decision-makers of food service businesses located in the United States. By requesting an Audit or engaging with our services, you represent and warrant that:

  • You are at least 18 years of age.
  • You are an owner, operator, or authorized representative of the business for which you are requesting services.
  • You have the authority to share processing statements, POS configuration details, and other business information with MorePie.
  • The information you provide is accurate and complete to the best of your knowledge.

6. User Obligations

When using our services, you agree to:

  • Provide accurate, current, and complete information as requested during the Audit process.
  • Provide authentic, unaltered processing statements and business documentation.
  • Participate in scheduled Audit calls in good faith and make reasonable efforts to provide the information and access necessary for MorePie to conduct a thorough review.
  • Not use our services, findings, or materials for any unlawful purpose.
  • Not misrepresent your identity, business, or authority to engage with MorePie.

7. Accuracy of Information

MorePie's findings, recommendations, and projections are based on the information you provide and publicly available industry data. While we make every reasonable effort to ensure accuracy, we do not warrant that our findings will be error-free or that projected savings or revenue will be fully realized. Actual results may vary based on implementation, market conditions, customer behavior, and other factors outside MorePie's control.

MorePie is not a certified public accountant, financial advisor, or attorney. Our services constitute business consulting and should not be construed as accounting, financial, tax, or legal advice. You should consult qualified professionals for advice specific to your financial and legal circumstances.

8. Intellectual Property

All content, materials, tools, reports, methodologies, and branding on our website and in our deliverables are the intellectual property of MorePie, LLC or our licensors. You may not reproduce, distribute, modify, or create derivative works from our materials without prior written consent.

Upon completion of an Audit, you are granted a non-exclusive, non-transferable license to use the Profit Report and findings delivered to you for your own internal business purposes. You may not publish, distribute, or share the specific methodologies, proprietary analysis frameworks, or partner pricing contained in your Profit Report with third parties.

9. Confidentiality & Data Privacy

MorePie treats all business information, processing statements, financial data, and operational details you share with us as confidential. We will not disclose your information to third parties without your explicit written consent, except as required by law or as necessary to deliver the services you have requested (for example, sharing relevant information with a partner processor or POS provider when you have elected to switch through MorePie).

If MorePie features your Audit results or experience as a case study, testimonial, or marketing material, we will change all identifying details (business name, owner name, location) unless you have provided explicit written consent to use your actual identity.

MorePie collects and processes personal information (name, email, phone number, ZIP code, business information) in connection with providing our services. We use this information to deliver the Audit, communicate with you about your results, and provide ongoing support. We do not sell your personal information to third parties. For more details on how we collect, use, and protect your information, please refer to our Privacy Policy.

10. Communications & Consent

By submitting a form or requesting an Audit through our website, and by checking the communications consent checkbox, you expressly consent to receive:

  • Phone calls from MorePie at the number you provided, including calls related to your Audit, findings, and follow-up.
  • Text messages (SMS/MMS) from MorePie at the number you provided, including appointment confirmations, reminders, and follow-up communications.
  • Emails from MorePie at the address you provided, including your Profit Report, recommendations, and periodic communications about our services.

Message and data rates may apply for text messages. Message frequency varies. You may opt out of text messages at any time by replying STOP to any message. You may opt out of marketing emails by clicking the unsubscribe link in any email. Opting out of communications does not affect the delivery of your Audit or any services already in progress.

Consent to receive calls and text messages is not a condition of receiving the free Audit or any other service from MorePie.

11. Third-Party Services & Partners

MorePie partners with multiple POS providers, payment processors, and related service companies to deliver recommendations and facilitate service transitions. These partners include but are not limited to Square, Shift4/SkyTab, Clover, Heartland, Payroc, and others.

When you choose to switch your POS or payment processor through MorePie, you will enter into a separate agreement directly with the chosen provider. MorePie is not a party to that agreement and is not responsible for the provider's products, services, pricing, performance, or customer support beyond the advocacy and support we provide as your representative.

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of any third-party sites.

12. Disclaimers & Limitation of Liability

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

MorePie does not guarantee that any specific savings, revenue increase, or business outcome will be achieved as a result of our Audit, recommendations, or facilitated service transitions. Found Profit figures represent estimates based on available data and reasonable assumptions, not guarantees of actual results.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOREPIE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) $200 OR (B) THE TOTAL AMOUNT PAID BY YOU TO MOREPIE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL MOREPIE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER MOREPIE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless MorePie, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your breach of these Terms; (c) any inaccurate, misleading, or fraudulent information you provide; or (d) your violation of any applicable law or regulation.

14. Termination

Either party may terminate the relationship at any time. You may stop using our services at any time for any reason. MorePie reserves the right to refuse or discontinue services to any individual or business at our sole discretion, including but not limited to cases where we believe information provided is materially inaccurate, fraudulent, or where continued service would violate applicable law.

Termination does not affect any rights or obligations that accrued prior to termination, including the delivery of any Audit or Guarantee Payout already in progress.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact MorePie and attempt to resolve the dispute informally. Most concerns can be resolved quickly through direct communication. You may contact us at the address provided in Section 19.

15.2 Binding Arbitration

If a dispute cannot be resolved informally within thirty (30) days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake County, Utah. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against MorePie.

15.4 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court in Salt Lake County, Utah, for disputes within the court's jurisdictional limits.

15.5 Injunctive Relief

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

16. Modifications to These Terms

MorePie reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of our services after any modification constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

Material changes to the $10,000 Profit Guarantee or $200 Payout terms will not apply retroactively to Audits already requested, in progress, or completed prior to the effective date of the change.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements or documents referenced herein, constitute the entire agreement between you and MorePie with respect to the services described herein and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
